CUSTOMER is obliged to comply with the terms and conditions of use of the Facility (terms of services) as stated in this Agreement and in ([www.vireopos.com]) (“Terms of Use”).

Vireo may change the Terms of Use of the Facility from time to time, and Vireo will notify the CUSTOMER of such changes by email or by giving a written message when the CUSTOMER uses the Facility. If the CUSTOMER continues to use the Facility after receiving the message, then the CUSTOMER agrees to be subject to the changes to these Terms of Use.

From time to time, Vireo may add, change or remove all or part of the features or functions in the Facility. CUSTOMER can install the latest version to accept the changes. Vireo may also decide to stop providing all or part of the Facility at any time, and nothing in the Terms and Conditions can be used as a guarantee that the Android application or part of any Facility will always be available, whether in its current form or any other form, or which Vireo will continue to support, maintain or continue to offer the Facility, or the Android application or any version thereof.

CUSTOMER will ensure that every user of the Facility (on behalf of CUSTOMER) must be 18 years of age or older. CUSTOMER is obliged to provide true, accurate, up-to-date and complete account information, and continue to keep the account information true, accurate, up-to-date and complete. Vireo may cancel or terminate the CUSTOMER account at any time at Vireo’s sole discretion.

The CUSTOMER has the right to cancel his/her account at the Facility at any time, by following the instructions on the CUSTOMER account via the Android application or the www.vireopos.com website or by calling or sending an email to the Customer Support section of Vireo. In the event that the CUSTOMER cancels his/her account before the end of the Facility subscription period (either monthly or annually), then the cancellation will take effect at that time and the CUSTOMER is not entitled to a refund of the Usage Fee that has been paid in advance (unless agreed by Vireo).

If the CUSTOMER account is cancelled, then: (a) the account can be deactivated or deleted; (b) all CUSTOMER’s rights in the Terms of Use will terminate immediately; and (c) all CUSTOMER data and content can be directly deleted from the Vireo system. Content cannot be recovered once the account is cancelled. Vireo cannot be held responsible for any loss or damage that occurs as a result of canceling the CUSTOMER account, and it is the CUSTOMER’s obligation to ensure that any content and data it needs is transferred or duplicated prior to account cancellation.

CUSTOMERS can request account cancellation at any time by contacting or sending an email to the customer service (Customer Support) section of Vireo.

CUSTOMER agrees to use the Facility in a reasonable manner. If Vireo considers that the CUSTOMER’s use of the Facility is inappropriate or may cause a decrease in the performance of the Facility for the CUSTOMER or other users, then Vireo may impose restrictions on the CUSTOMER’s use of the Facility. Where possible, Vireo will give CUSTOMER 24 (twenty four) hours prior notice and request that CUSTOMER usage be reduced before any restrictions are imposed.

CUSTOMER agrees that Vireo owns all intellectual property rights in the Facility. CUSTOMER agrees not to challenge or do anything inconsistent with such ownership. CUSTOMER is not allowed to publish or use its brand or logo, except with Vireo’s prior written consent.

CUSTOMER grants a royalty-free, irrevocable and perpetual permission to use (including for commercial purposes) the information and/or data collected by Vireo through CUSTOMER’s use of the Facilities, provided that Vireo will combine (with data from other users) ) or make the information or data anonymous before using it. Apart from these rights, Vireo does not claim any other intellectual property rights in relation to the information or content that CUSTOMER fills in on the Facility.

CUSTOMER may provide comments, recommendations, or suggestions on the Facility, and CUSTOMER agrees that Vireo will be able to freely use, modify, and incorporate such suggestions without any obligation to CUSTOMER.

Facilities are provided on an “as is” and “as available” basis, and CUSTOMER’s use of it is at the CUSTOMER’s own risk. Vireo will promptly (within normal business hours) address any technical issues that arise in connection with the Facility.

Vireo does not warrant that: (a) the Facility will meet the specific needs of the CUSTOMER, (b) the Facility will always be interruption-free, timely, secure, error free; (c) Facilities will always be accurate and reliable; (d) the quality of any product, service, information or material purchased or obtained by CUSTOMER through the Facility will meet CUSTOMER’s expectations; (e) any errors in the Facility will always be corrected.

CUSTOMER acknowledges agrees that Vireo may use third party suppliers to provide hardware, software, networking, connectivity, storage and other technologies to provide the Facilities. All actions and actions of such suppliers may be beyond the control of Vireo, and Vireo will not accept any responsibility for any loss or damage suffered as a result of the actions or actions of such suppliers. For and on behalf of itself and its suppliers of such third parties, Vireo disclaims any warranties that may be implied or otherwise applicable under applicable laws and other regulations, to the extent permitted by applicable law.

To the extent permitted by applicable law, Vireo will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages due to loss of profits, effort, goodwill, use of , data or other intangible loss (even if Vireo has been advised of the possibility of such damage), resulting from: (a) use of or inability to use the Facility (in whole or in part) or any technical malfunction; (b) the cost of procuring substitute goods or services; (c) prohibited access to, or alteration of, CUSTOMER communications or data; (d) any third party statements or actions with respect to the Facility; or (e) any other matter in connection with the Facility. In any case, Vireo’s maximum liability with respect to the Terms of Use or the use of the Facility by CUSTOMER is limited to the amount of the Usage Fee paid by CUSTOMER in the last 12 months.

CUSTOMER is responsible for CUSTOMER’s use of the Facilities and CUSTOMER will indemnify Vireo. The CUSTOMER is responsible for all activities resulting from the use of the Facility through the CUSTOMER account. The CUSTOMER is responsible for maintaining the security of the CUSTOMER account and password. Vireo is not responsible for any loss or damage resulting from failure to maintain the security of these user names and passwords. CUSTOMER will indemnify Vireo for all responsibilities, actions, claims, requests, costs, demands, and expenses which Vireo may incur or suffer as a result of using the Facility through CUSTOMER’s Account or as a result of failure to comply with these Terms of Use.

CUSTOMERS are prohibited from: (a) using the Facility in a way that is unlawful, or for any unlawful or fraudulent purpose, or in any way inconsistent with the Terms of Use; (b) violate the intellectual property rights of Vireo or a third party in connection with the use of the Facility; (c) submit any material that is defamatory, insulting or otherwise controversial in connection with CUSTOMER’s use of the Facility; (d) use the Facilities in a manner that could damage, disable, overburden, disable, or weaken Vireo’s systems or security or interfere with other users; (e) collect or retrieve any information from Vireo’s facilities or systems or attempt to decipher (decipher) transmissions to or from servers using the Facilities; (f) disclose or distribute information in connection with other users of the Facility to any third party, or use such user information for marketing purposes unless the CUSTOMER has obtained permission from the user to do so; or (g) access or register through users logins using bots or other automated methods.
